When you sell (buy) e-LINX on the secondary market, the amount of accrued coupon that you receive (pay) is included in the quoted price. While broker-dealer affiliates of the issuers anticipate making a secondary market in e-LINX, there is no assurance that such a secondary market will be available to investors who wish to sell their e-LINX. If you sell e-LINX prior to maturity, you may receive a market price, which is at a premium, or discount to par and which does not necessarily reflect any increase in the Reference Share to the date of such sale. The trading price of e-LINX notes will vary based on a number of factors, including the remaining time to maturity, the stock price of the Reference Share, and the price of a corporate bond of the same issuer having the same remaining time to maturity.

All Incapital operational facilities are equipped for resumption of business and are tested several times per year. Their recovery time objective for business resumption, including those involving a relocation of personnel or technology, is four 4 hours. This recovery objective may be negatively affected by the unavailability of external resources and circumstances beyond their control.
