Keeley Asset Management Corp. is a registered investment adviser established in 1982 by John L. Keeley, It offers investment management services to institutions, high net-worth individuals, hedge funds, and corporate retirement accounts. Its Corporate Restructuring Strategy, first employed in January 1990, is the basis from which the Funds focus on the purchase of stocks undergoing corporate change.

Keeley Small Cap Value Fund, Inc. seeks capital appreciation through long-term value investing in small-cap stocks under $1.5 billion market capitalization in each investment.  The Fund charges an up-front sales load of 4.50%. Annual operating expenses are capped at 2.50% and include a 0.25% 12b-1 fee and 1% investment adviser fee of average daily net assets.

Keeley Mid Cap Value Fund seeks between $1.5 to $10 billion market capitalizations in each investment. The Fund charges an up-front sales load of 4.50 percent. Annual operating expenses are capped at 2.00% and include a 0.25% 12b-1 fee and 1% investment adviser fee on the first $350 million, 0.90% of the next $350 million and 0.80% of $700 million of average daily net assets. The Funds emphasize the purchase of companies undergoing corporate redevelopment such as spin-offs, companies emerging from bankruptcy, securities trading below actual or perceived book-value, savings & loan and insurance conversions, distressed utilities. 

The Funds have adopted a plan under Rule 12b-1 that allows them to pay distribution and other fees for the sale and services provided to shareholders. Under this Plan, the fee is 0.25% per year. Because these fees are paid out of the Funds assets on an ongoing basis. Over time these fees will increase the cost of your investment and may cost you more than paying other types of sales charges.
