Kindred Healthcare is a healthcare services company that through its subsidiaries operates nursing centers, hospitals, institutional pharmacies and a contract rehabilitation services business across the United States. The Company's Health Services Division operated 242 nursing centers in 28 states. The Company's Hospital Division operated 74 long-term acute care hospitals in 24 states.

The Company's Pharmacy Division functions an institutional pharmacy business with 39 pharmacies in 24 states and a pharmacy management business servicing significantly all of their hospitals.

Net income from continuing operations for the fourth quarter of 2005 totaled 24.3 million dollars or 0.56 dollars per diluted share compared to 26.6 million dollars or 0.63 dollars per diluted share in the fourth quarter last year. Consolidated revenues for the fourth quarter ended December 31, 2005 increased 11percent to 989 million dollars from 893 million dollars in the same period last year.


Operating results for the fourth quarter of 2004 included certain items that, in the aggregate, increased net income by approximately 1.5 million dollars or 0.04 dollars per diluted share. These items included pretax income of 5.7 million dollars for professional liability costs and a pretax charge of 3.3 million dollars related to the write-off of a clinical information systems project.


The Company obtained lender commitments for the increased credit capacity and closed the transaction in February 2006. At December 31, 2005, the remaining allowed possession amount aggregated 352 million dollars. The Company announced in December 2005 that it had obtained lender approval to increase the amount of available credit under its revolving credit agreement from 300 million dollars to 400 million dollars and to increase the amount of permitted acquisitions from 400 million dollars to 500 million dollars, among other things.


During the fourth quarter of 2005, the Company repurchased approximately 1,753,000 shares of its common stock at an aggregate cost of approximately 48 million dollars.
