Duke Energy was founded 1916 and is headquartered in Charlotte, North Carolina. It is a leading energy company located in the Americas with an affiliated real estate operation. The company operates in 6 divisions namely Franchised Electric, Natural Gas Transmission, Field Services, Duke Energy North America, International Energy, and Crescent Resources. The Franchised Electric division generates, transmits, distributes, and sells electricity in central and western North Carolina and western South Carolina.
 
The decrease in segment EBIT for the quarter was partially offset by improved bulk power marketing (BPM) sales. In addition to greater sales, the improvement in BPM results was driven by a 27 million dollars charge recorded in second quarter 2004 related to the commencement of the profit-sharing program with customers in North Carolina and South Carolina.
 
Duke Energy today reported 2005 basic earnings per share of 1.94 dollars, or 1.82 billion dollars in net income, compared to 1.59 dollars per share in 2004, or 1.49 billion dollars in net income.
 
DUK today declared a quarterly cash dividend on its common stock of 0.31 dollars per share. The dividend is payable on March 16, 2006, to shareholders of record on the close of business Feb. 17, 2006. DUK Canada Exchange co Inc., a subsidiary of Duke Energy, today also announced a quarterly cash dividend on its exchangeable shares of Cdn 0.36 dollars per exchangeable share.
 
The 3 year package includes 258,180 shares of phantom stock; 322,800 shares each year, beginning in early 2007, if financial and company goals are achieved; and a one-time stock-option grant of 1,877,646 shares with a strike price of 29.14 dollars. Duke's acquisition of Cinergy created one of the largest utilities in the country, with 36 billion dollars in market capitalization and assets of more than 70 billion dollars.
