Alchemy Alternatives, Inc.
Alchemy Alternatives, Inc. is a member of NASD the National Association of Security Dealer. NASD is a self regulatory organisation of the securities industry responsible for the operation and regulation of the NASDQ stock market and over the counter markets. It is also engaged in administrating exams for the investments professionals, such as the series of 7 exams.
On the 8th of March, 2006, the Company entered into a Brokerage Services Agreement popularly known as the Brokerage Agreement with Alchemy Alternatives, Inc., a registered broker/dealer with the Securities and Exchange Commission and member of the National Association of Securities Dealers, Inc. It is a company basically located in California by the name given as Alchemy.
Alchemy is involved in providing brokerage and advisory services to AST including other services like flourishing suitable strategic business relationships, funding sources and providing financial aid, and other business opportunities called as Brokerage Services. AST desires to retain Alchemy in providing brokerage and advisory services, and Alchemy instead desires to provide such brokerage and advisory services to AST.
The Brokerage Agreement provides that Alchemy will provide brokerage and advisory services in connection with securing finances for the Company in an amount up to about $10,000,000. The Brokerage Agreement has a term expanding up to a period of three years from the date an introduction is made. The Company will pay Alchmey a cash fee of ten percent and securities in the amount of again ten percent of the amount of finances received from an introduction as given by Alchemy.
The Company believes that both Grosvenor and Alchemy are parties related to each other. There is no actual material relationship between the Company or its affiliates and any of the parties, other than with respect to the Service Agreement and the Brokerage Agreement.
